These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Orka LLC, a Hawaii limited liability company ("Orka," "we," "us," or "our"), governing your access to and use of the Orka financial operating system available at orka.finance and any related applications or services (collectively, the "Service").
By creating an account, connecting your QuickBooks account, or otherwise using the Service, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.
Orka is a financial clarity tool that connects to your QuickBooks Online account via the Intuit QuickBooks API. The Service provides:
Important: Orka is not a licensed accounting, bookkeeping, tax, or financial advisory service. Orka does not provide accounting advice, tax advice, or legal advice. All categorization suggestions are AI-generated and require your review and approval before being applied to your QuickBooks account. You remain solely responsible for the accuracy of your financial records.
To use Orka, you must authorize the Service to access your QuickBooks Online account using Intuit's OAuth 2.0 framework. By granting this authorization, you permit Orka to read transaction data from and write categorized expense records to your QuickBooks account on your behalf.
Orka accesses your QuickBooks data solely as necessary to provide the Service. We will not access, use, or share your QuickBooks data beyond what is required to categorize transactions and write approved records back to your account.
You are responsible for reviewing all Orka categorization suggestions before approving them. No transaction will be written to your QuickBooks account without your explicit approval within the Orka interface. You acknowledge that AI categorization suggestions may be incorrect and that you must verify their accuracy before approving.
Your use of QuickBooks remains subject to Intuit's own Terms of Service and Privacy Policy. Orka is an independent application and is not affiliated with, endorsed by, or sponsored by Intuit Inc.
You must create an account to use Orka. You agree to provide accurate, complete, and current information during registration and to keep this information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
You may close your account at any time by contacting us at [email protected]. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk.
You agree to use Orka only for lawful purposes and in accordance with these Terms. You agree not to:
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Orka, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
The Orka Service, including its software, design, algorithms, and content, is owned by Orka LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own business purposes during the term of these Terms.
You retain ownership of all financial data, receipt images, and business information you provide to Orka. You grant Orka a limited license to use this data solely to provide and improve the Service. We will not use your financial data to train AI models without your explicit consent.
Orka is a software tool, not a licensed accounting or financial advisory service. Nothing in the Service constitutes accounting advice, tax advice, legal advice, or professional financial guidance. You should consult a qualified accountant or financial professional for advice specific to your business.
Orka uses artificial intelligence to suggest transaction categorizations. These suggestions may be incorrect. You are solely responsible for reviewing and approving all categorizations before they are applied to your QuickBooks account. Orka makes no warranty that AI-generated categorizations are accurate, complete, or appropriate for your specific accounting needs.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORKA AND JEREMY HICKMAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Orka LLC and its members, officers, and affiliated parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
These Terms are governed by the laws of the State of Hawaii, United States, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in Honolulu, Hawaii, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice within the Orka application at least 14 days before changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service.
